Seller's Offers and confirmations are subject to the following terms and conditions:

• Seller’s terms and conditions of commercial sale, unless a master or general purchase agreement already applies;
• Open for acceptance within the period of three hundred sixty-five (365) days, from the date of the offer, while any offer may be withdrawn or revoked by Seller at any time prior to the receipt by Seller of Buyer's acceptance related thereto. An accepted offer in time results in an Agreement that supersedes and replaces all previous agreements for the same product.
• Lead times in an Offer, whether or not accepted, are subject to change without notice and cannot be regarded as a commitment.
• Basis of a quotation in an Offer, whether or not accepted, is the indicated Start of Production (SOP), being the start of the price matrix. Any change in SOP will equivalently shift the price matrix.
• The quotation in an offer, whether or not accepted, is based on USD, EUR or CNY market prices and Nexperia cost outlook. Any offer is therefore subject to change in case of exceptional market circumstances (for example underpinned by Industrial Producer Price Indices as published by Eurostat), significant fluctuations in exchange rate or tariffs.
• In case the offer contains products that are still under development, seller reserves the right to change these specifications
• Only for pre-RFS offer: One or more products in this offer are currently under development and have preliminary product specifications. Therefore the offer is considered budgetary and can still be subject to change once the products receive an official release state.
